Continuing my weekly update on state-level incentives that startups and their investors could benefit from, we talk about California today. We’re diving into the CA state’s investor-focused programs, all designed to get private capital flowing to early-stage companies.
A quick heads-up: California doesn’t have a formal Angel Investor Tax Credit right now. But your SPVs can still benefit big time! The trick is using incentives claimed at the company level.
Here is how you optimize your returns:
1. Key Company-Level Incentives:
These are incentives the portfolio company claims, and as an investor, you benefit indirectly:
- R&D Tax Credit: This is a state-level credit for qualified research and development spending. The credit is equal to the sum of the following: 15% of qualified expenses that exceed a base amount AND 24% of basic research payments. This is a classic way to lower the company’s tax bill. - California Competes Tax Credit: This is a great one for companies that are expanding or planning to move to California. It’s an incentive to grow the business in the statement. ax credit agreements are negotiated by the Governor’s Office of Business and Economic Development (GO-Biz) and approved by the California Competes Tax Credit Committee. A few operational notes:
- Non-Refundable: These credits are generally non-refundable, and how long you can carry them forward varies by program.
- Coordination is Key: Make sure your portfolio companies coordinate these state credits with the federal R&D credits and any Opportunity Zone benefits to really maximize your after-tax returns.
2. Stack Up the Benefits!
You can layer these company-level perks with other programs:
- California Opportunity Zones (OZ): If your investments are inany of the 879 CA OZs, they can qualify for federal OZ incentives. Think of this as getting a bonus on top of the company-level benefits! Link to list of CA OZs
- Business Support: Don’t forget about other resources! Grants, CA iHub incubators, co-investment programs, and technical assistance are out there to help your portfolio companies succeed.
The Bottom Line
For California SPVs, the sweet spot for optimizing after-tax returns is to combine the company-level R&D and California Competes Tax Credit incentives with the federal Opportunity Zone benefits.
