Sophisticated Investor

A person is called a Sophisticated Investor if he has a preexisting personal or business relationship with the Company or its partners, officers, directors or controlling persons. It also includes people or by reason of business or financial experience of such Investor’s professional advisers who are unaffiliated with and are not compensated directly or indirectly by the company and could be reasonably assumed to have the capacity to protect their own interests.
